Typically, it's done like this: A company is identified and investors are found. Next, tokens are issued. These tokens must be utility tokens, and some are distributed to investors, while others are distributed to the community. If the token sale doesn't take place, then the SEC won't have any issues with you. If the tokens are traded by other traders on the exchange, that's not your problem.

If you're distributing tokens to investors and these tokens have utility status, what's the problem? The most important thing is that you haven't sold these tokens. Which country are you interested in? You need to speak with lawyers in that country. ___ If you're selling meme tokens (like baseball cards), you don't need lawyers. There are thousands of such pump-and-fun projects, and they last no more than a month or a couple of weeks.
